11. also, about the clearing house guaranteeing the shares, does the CH always have to have the same shares on hand in case the deal falls through? or do they guarantee to buy the same shares and hand it over to the buyer if the deal falls through?
12. can i ask why the guarantee is needed? isnt there legal recourse? sue the guy? or is it just for convenience, since lawsuits take a long time? i would think the threat of a lawsuit, especially in a reputable jurisdiction like the UK, would be enough...
